Attorney-review notice: These Terms of Service have not yet been reviewed by a qualified attorney. The operator intends to obtain professional legal review before marketing to EU users at scale.

1. Key Changes in This Update

These are the first published Terms of Service for Foliosio. There is no previous version; all provisions are new.

2. Acceptance of Terms

By accessing or using Foliosio (the "Service") at foliosio.com or through our application, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age. The Service is not directed at or intended for persons under 18.

If you do not agree to these Terms, do not use the Service.

3. Description of Service

Foliosio is a B2B customer-support software platform that enables workspace operators ("Customers") to manage support conversations via a web widget, email integration, and contact forms. The Service includes optional AI-powered features powered by Anthropic's Claude API, including reply draft generation and message topic clustering.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with notice where reasonably practicable.

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at foliosio@proton.me if you suspect unauthorized use of your account.

Accounts may be created using an email address and password or via Google OAuth. For Google OAuth accounts, you authorize Foliosio to receive your email address and display name from Google for the purpose of account creation and authentication.

You may not create accounts on behalf of others without authorization, maintain multiple accounts for the same workspace, or share account credentials.

You agree not to use the Service to:

We reserve the right to suspend or terminate accounts that violate these restrictions, without prior notice where required for security or legal reasons.

6. AI Features and Output Disclaimer

Foliosio offers AI-powered features including reply draft generation and message topic clustering, powered by Anthropic's Claude API.

Transparency (EU AI Act Art. 50, in force August 2, 2025): Foliosio discloses to end-users that support responses delivered through the Service may be AI-generated. Workspace operators are responsible for ensuring their end-users receive this disclosure. AI-generated responses are identified in the message record.

Output accuracy: AI-generated outputs may contain material inaccuracies and may not reflect correct, current, or complete information. Do not rely on AI-generated outputs, and do not encourage others to rely on them, without independently evaluating their accuracy. AI outputs are not a substitute for professional advice of any kind.

Auto-mode: When the AI auto-reply feature is enabled, messages may be sent to your end-users without prior human review. You accept responsibility for all AI-generated messages sent under your workspace in auto-mode. You are advised to review AI outputs and conduct appropriate testing before enabling auto-mode for consequential communications.

Sub-processor disclosure: Conversation content, including end-user personal data, is transmitted to Anthropic, PBC as an AI sub-processor when AI features are enabled. See our Privacy Policy for details.

Agentic features: Depending on the automation rules and integrations you configure, AI-related actions may have effects outside the Service, including sending communications to end-users and delivering data to third-party webhook endpoints. You are responsible for all such actions taken within your workspace configuration.

No guaranteed availability: AI features may be subject to rate limits, temporary unavailability, or modification without prior notice.

7. Subscription and Billing

Subscriptions are billed through Stripe, Inc. By subscribing, you authorize Stripe to charge your payment method on a recurring basis according to your selected plan.

Cancellation: You may cancel your subscription at any time via the billing portal accessible from your account settings. Cancellation takes effect at the end of the current billing period; no partial-period refunds are provided except as required by applicable law.

EU/UK right of withdrawal: If you are an EU or UK consumer, you have a statutory right to withdraw from a digital services contract within 14 days of entering into it. By requesting immediate access to the Service upon subscription, you expressly consent to the immediate provision of the Service and acknowledge that you waive your 14-day withdrawal right once the Service has been fully performed, or once you have begun downloading or using digital content. Price changes: We will provide at least 30 days' written notice before any price increase. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

Taxes: Prices are exclusive of applicable taxes. Stripe automatically calculates applicable taxes based on your billing address.

Failed payments: If a payment fails, we reserve the right to suspend access to the Service until payment is resolved.

8. Intellectual Property

All rights in the Service, including its software, design, documentation, and Foliosio brand elements, are owned by Foliosio or its licensors. These Terms do not grant you any ownership rights in the Service or its underlying technology.

You retain all rights in the data, content, and materials you input into or generate using the Service ("Customer Data"). Nothing in these Terms transfers ownership of Customer Data to Foliosio.

Feedback you provide about the Service may be used by us to improve the Service without obligation to you.

9. User Content and Customer Data

You grant Foliosio a limited, non-exclusive, royalty-free license to process Customer Data solely as necessary to provide the Service to you, including transmitting it to sub-processors as described in our Privacy Policy.

You represent and warrant that: (a) you have all necessary rights and consents to provide Customer Data to Foliosio; (b) processing Customer Data as described in these Terms and our Privacy Policy does not violate applicable law; and (c) where Customer Data includes personal data of your end-users, you have obtained all required consents or have another valid lawful basis to process and transmit that data to Foliosio and its sub-processors, including Anthropic, when AI features are enabled.

We do not use Customer Data to train, fine-tune, or improve AI models. See Privacy Policy, Section 10 for details.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Workspace operators who process personal data of their end-users using Foliosio act as data controllers; Foliosio acts as a data processor on their behalf. Workspace operators are responsible for executing a Data Processing Agreement (DPA) with Foliosio as required by applicable law (including GDPR Art. 28). Contact foliosio@proton.me to request a DPA before processing personal data through the Service.

11. Third-Party Services

The Service integrates with third-party services including Google (OAuth authentication), Stripe (billing), Supabase (infrastructure), Anthropic (AI), Resend (email delivery), Upstash (rate limiting), and Vercel (hosting). Your use of any third-party service is subject to that service's own terms of service and privacy policy. Foliosio is not responsible for the acts or omissions of third-party providers.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF SECURITY VULNERABILITIES. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

To the extent permitted by applicable law, this disclaimer applies in full. Mandatory statutory rights under EU and UK consumer protection law are not affected by this disclaimer; nothing in this section limits rights that cannot be excluded under applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOLIOSIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FOLIOSIO IN THE 12 CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

IN NO EVENT SHALL FOLIOSIO BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Carve-outs: The liability limitations above do not apply to: (a) damages resulting from Foliosio's gross negligence or wilful misconduct; (b) liability for death or personal injury caused by Foliosio's negligence; (c) fraudulent misrepresentation; or (d) any liability that cannot be limited or excluded under applicable mandatory law.

EU and UK consumer rights: If you are an EU or UK consumer, you may have non-waivable rights under applicable consumer protection law, including the EU Consumer Rights Directive (2011/83/EU), EU Digital Content Directive (2019/770/EU), and UK Consumer Rights Act 2015. Nothing in these Terms limits or excludes any rights you have under applicable mandatory consumer law.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Estonia, without regard to its conflict-of-law principles. You and Foliosio agree to submit to the exclusive jurisdiction of the courts of Estonia for resolution of any dispute arising under or in connection with these Terms, except to the extent that mandatory local law requires disputes to be resolved in your jurisdiction.

15. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice by email (where we have your address) or by prominent notice within the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
